This agreement applies as between you, the User of this Website and Innovative Educational Associates, LLC, the owner(s) of this Website. Your agreement to comply with and be bound by these terms and Conditions is deemed to occur upon your first use of the Website.
No part of this Website is intended to constitute a contractual offer capable of acceptance. Your order constitutes a contractual offer and Our acceptance of that offer is deemed to occur upon Our sending a confirmation email to you indicating that your order has been accepted.
Integrated EMS Academy will deny access to any individual who does
not agree to the terms and conditions contained in this Integrated EMS Academy
Terms and Conditions Agreement. Further, Integrated EMS Academy reserves the
right to terminate access to any individual who does not abide by these terms
and conditions.
Integrated EMS Academy is solely owned and operated by Innovative
Educational Associates, LLC. In this agreement the use of Integrated EMS
Academy means the same as Innovative Educational Associates, LLC.
All programs, courses, lessons, and materials, along with
references used in or related to the courses, are the property of Integrated
EMS Academy or of third parties and used under permission granted to the Integrated
EMS Academy and may only be used in the manner detailed in this Integrated EMS
Academy Terms and Conditions Agreement.
Permission to use the material in any other way must be obtained in
writing from Integrated EMS Academy and/or the publisher or author of the
material. These materials are for the sole use of individuals registered for
the Integrated EMS Academy or others as approved by Integrated EMS Academy. As
an Integrated EMS Academy registered user, you may view and read all materials
that are part of the Integrated EMS Academy. You may also print any or all
screen and pdf file pages for your personal use in taking a program or course,
but you may not share, communicate, publish or in any manner distribute to
other parties any materials including login and password, readings, references,
links or any other materials.
The terms and conditions regarding use of materials apply upon
registration for the program or course, while you are taking the program or
course, and upon and after completing, withdrawing from or terminating the
program or course.
You
must be at least 18 years of age to enroll or make a purchase from our
website(s). If you are under the age of 18 you must have parental permission to
enroll or purchase from our website(s).
To withdraw from a program or course you must submit an email
request to
accounts@inedas.com. Your
program/course access will automatically be removed if you have not accessed
your program or course within 180-days of enrollment.
You may withdraw from a program or course at any time by submitting
a request to
accounts@inedas.com.. However,
once you are registered and have accessed the program or course you will only receive
a refund on program or course tuition. The cost of any books, software, supplies,
or equipment are non-refundable.
If you withdraw within seven (14) business days from paying your
registration AND have completed less than 50% of the lessons; you will receive
100% of your paid program registration. Between business day seven (15) and
calendar day 30 AND you have completed less than 50% of the lessons; you will
receive a 50% refund. There will be no refunds after 30 calendar days regardless of what percentage of lessons have been completed or if a
course/program completion certificate has been issued/printed.
You are responsible for and will indemnify and hold Integrated EMS Academy harmless from and against any and all liability, claims and losses resulting from your actions in connection with taking any program or course and your breach of any terms and conditions of this Integrated EMS Academy Terms and Conditions Agreement.
Integrated EMS Academy shall not be
liable for any losses or damages of any kind related to any websites, course
hosting platforms or any other technology used in the delivery of the content
being unavailable or unusable for any reason whatsoever. The Participant hereby
agrees that they have the necessary Internet connection and other technology in
order to participate fully in the Program.
Subject to applicable law, in no event
shall Integrated EMS Academy and its partners, employees, consultants, agents
or licensors be liable for damages of any kind including, without limitation,
any direct, special, indirect, punitive, incidental or consequential damages
including, without limitation, any loss or damages in the nature of or relating
to lost business, lost savings, lost data or lost profits arising from your use
of, reliance upon, or inability to use the website or learning management
system, regardless of the cause and whether arising in contract (including
fundamental breach), tort (including negligence), or otherwise. The foregoing
limitation shall apply even if Integrated EMS Academy knew of or ought to have
known of the possibility of such damages.
The Program and courses are provided “as
is” and “as available”, without warranty or condition of any kind, either
express or implied. Integrated EMS Academy expressly disclaims all warranties
and conditions, including any statutory or implied warranties or conditions of
merchantability, fitness for a particular purpose, title, quiet enjoyment or
non-infringement in respect to the programs or courses, to the fullest extent
permissible under applicable law. While Integrated EMS Academy endeavors to
provide content that is correct, accurate and timely, no representations or
warranties are made regarding the programs and lessons including, without
limitation, Integrated EMS Academy’s provide no representation or warranty that
(i) the content will be accurate, reliable, complete, current, timely or
suitable for any particular purpose, (ii) that the operation of the course
hosting platform will be uninterrupted or error-free, (iii) that defects or
errors in the Program will be corrected, (iv) that the course hosting platform
will be free from viruses, malware, worms or other harmful components, and (v)
that communications to or from the course hosting platform will be secure
and/or not intercepted. You acknowledge and agree that you are using the
Program at your own risk and liability.
The Participant hereby agrees to release Integrated
EMS Academy and their partners, employees, consultants, agents and licensors
from, and in no event shall any or all of Integrated EMS Academy’s and their
partners, employees, consultants, agents or licensors be liable to you or any
other person or entity, for any and all liabilities and damages (including any
direct, indirect, special, exemplary or consequential damages, including lost
profits) whatsoever arising from your use of the website and learning management
system (including any breach by you thereof), or otherwise relating to this
Agreement and you agree that your sole remedy for any claim, loss, damage,
costs or expenses is to cease using the Program. The Participant will indemnify
and hold harmless Integrated EMS Academy and its partners, employees,
consultants, agents or licensors from and against any claims, losses,
judgments, damages, costs and expenses (including without limitation,
reasonable legal fees) incurred by any of them due to or resulting from your
use of the website or learning management system or otherwise relating to this
Agreement (including any breach by you thereof). The Participant will also
indemnify and hold harmless Integrated EMS Academy and their partners,
employees, consultants, agents or licensors from and against any claims brought
by third parties arising out of your use of the website, learning management
system, or its content.
Integrated EMS Academy agrees to protect
all personal information collected from the Participant for the purpose of
providing the Program in accordance with applicable privacy legislation in Wisconsin
and the United States. The Participant agrees to the collection of use of the
personal information in accordance with the Privacy Policy of Integrated EMS
Academy for the purpose of delivering and administering the Program. In addition to receiving applicable Program correspondence via e-mail or other
electronic communication, the Participant expressly consents to receive any
marketing correspondence from Integrated EMS Academy upon registration in the
Program. The Participant may unsubscribe from any such marketing lists without
affecting access to the Program.
Reference materials and links provided in courses and programs are
provided by Integrated EMS Academy. Integrated EMS Academy does not assume
responsibility or liability for the accuracy or completeness of content
contained in reference materials or links.
Integrated EMS Academy does not endorse any product, service or
organization referenced. The opinions expressed by instructors or students are
solely the opinions of the contributors and do not represent the opinions of Integrated
EMS Academy, its officers, directors, staff, representatives and/or its
affiliates.
You agree that you will not use any robot, spider or other device,
process or means to access the Integrated EMS Academy. Nor shall you use any
process to monitor or copy our Web pages or the content contained thereon or
for any other unauthorized purpose without our prior expressed written
permission.
You agree that you will not compromise or circumvent the security
controls of the Integrated EMS Academy website or learning management system or
otherwise gain unauthorized access to Integrated EMS Academy protected
programs, courses, or lessons. You agree that you will not use any device,
software or routine that interferes with the proper working of the Integrated
EMS Academy programs, courses, or lessons nor shall you attempt to interfere
with the proper working of the Integrated EMS Academy website or learning
management system. You agree that you will not take any action that imposes an
unreasonable or disproportionately large load on our infrastructure. You agree
that you will not copy, reproduce, alter, modify, create derivative works or
publicly display any content from the Integrated EMS Academy website or
learning management system without the prior expressed written permission of
the Integrated EMS Academy.
Any passwords and user IDs used for the Integrated
EMS Academy are for the Participant’s individual use only. The Participant is
responsible for the security of their password and user ID (if any), and is
responsible for all activities that occur under their user ID and password. The
Participant agrees to notify Integrated EMS Academy immediately of any
unauthorized use of their password or account or any other breach of security. Integrated
EMS Academy will be entitled to monitor passwords and user IDs and, at its
discretion, require Providers to change passwords. The Participant further
agrees that Integrated EMS Academy will not be responsible for the unauthorized
use of a Participant profile by any other person and is under no obligation to
confirm the actual identity of any password or user ID. Integrated EMS Academy
cannot and will not be liable for any loss or damage arising from a
Participant’s failure to comply with these provisions.
By
purchasing a Program or course with a payment plan or recurring fees, the
Participant hereby authorizes Integrated EMS Academy to charge their credit
card or other payment method as in the signed purchase agreement.
The material in the Integrated EMS
Academy website and learning management system is covered by the provisions of Unites
States Copyright and by other applicable laws, policies, regulations and
international agreements that address intellectual property rights. Any use of
the website or learning management system, including modification,
transmission, presentation, distribution, republication, or other exploitation
of the website or learning management system or of its content, whether in
whole or in part, is prohibited without the prior written consent of the
Provider.
The Participant agrees to provide true,
accurate, current and complete information as prompted by any registration form
and to maintain and promptly update the information to ensure it remains true,
accurate, current and complete. The Participant is responsible for maintaining
the confidentiality of the password and account, and for all activities that
occur under your account. In consideration of use of the Website and learning
management system, you agree to maintain and update true, accurate, current and
complete Registration Data. If you provide any information that is untrue,
inaccurate, not current or incomplete, or if the Integrated EMS Academy have
reasonable grounds to suspect that such information is untrue, inaccurate, not
current or incomplete, Integrated EMS Academy may suspend or terminate Program
access without refund. Integrated EMS Academy reserves the right in its sole
discretion, to terminate access of the Participant to the Integrated EMS
Academy and the related services or any portion thereof at any time, if the
Participant becomes disruptive to the Integrated EMS Academy or other
participants, fails to follow the Program guidelines. In the event of a
termination of Integrated EMS Academy, the Participant shall not be entitled to
a refund of any portion of the fees and shall not be excused from any remaining
payments under a payment plan in the event of such termination.
The fees for online programs and courses
and any membership programs shall be as set out in the Integrated EMS Academy
website and marketed offers from time to time. The fees charged by Integrated
EMS Academy shall be subject to all applicable taxes as required by the taxing
authorities in the jurisdiction of Provider.
The Program is operated by Innovate Educational Associates, LLC
within the state of Wisconsin in the United States. By accessing or using the
Integrated EMS Academy website or learning management system, the Participant
agrees that all matters relating to your access to, or use of the system and
its content shall be governed by the state laws of Wisconsin and the federal
laws of the United States. The Participant agrees and hereby submits and
attorns to the exclusive jurisdiction of the courts of Wisconsin, with respect
to all matters relating to access and use of the Integrated EMS Academy website
and learning management system.
